VOCALE TERMS AND CONDITIONS

Please review these Site Terms of Use, which govern your use and purchase of products from our Site. By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms then please do not use this Site. Vocale Ltd controls and operates this Site from its offices within the United Kingdom. The laws of England and Wales govern claims relating to, including the use of, this Site and the materials contained herein. If you choose to access this Site from another location, you do so on your own initiative and are responsible for compliance with applicable local laws. The terms and conditions listed below are for business customers. We do not have consumer terms and conditions, as these are determined by specific legislation, the Sale of Goods Act 1979, the Sale and Supply of Goods Act 1994, and the Unfair Contract Terms Act 1977.

Definitions

In these terms and conditions:

  • ‘Company’ means Vocale Ltd
  • ‘The SIP School’ means the SIP Training service provided by Vocale Ltd
  • ‘SSCA™’ means ‘The SIP School Certified Associate’ related to the SIP Training service provided by Vocale Ltd
  • ‘Products’ means courseware or other training products provided by the Company to the Customer for IT training;
  • ‘Customer’ means a customer ordering Courseware or other Vocale Ltd products;
  • ‘Resources’ means electronic or printed content or media that may be supplied by the Company and used by the Customer to facilitate the delivery of a training course.

Ordering

Orders can be made on line using a credit card to complete payment. Following a successful payment transaction a logon-id and password for access will be issued to the email address of the person named in the order form. The Company can accept no responsibility for any delay in delivery. All orders are accepted subject to these terms.

Please note, that you read the description of courses before you make a purchase as no refunds will be made if purchases are made in error.  Also, the SSCA Certification license that is available without training modules will not be refundable if a subsequent purchase is made for SIP Training that ‘includes’ the SSCA Certification option.

Invoicing

Products shall be provided at the Company’s current price list at the date of ordering. All prices quoted shall be exclusive of Value Added Tax, applicable local sales tax and carriage, unless otherwise expressly stated on the on-line ordering form. The Company shall issue receipts automatically to the Customer.

Changes

The Company reserves the right to change the content of the Products.

Errors and omissions, liability

The Company will assume no responsibility for any errors or omissions within the Products that it supplies. Without prejudice to these terms and conditions, the Company’s sole liability is to supply the Products that the Customer has ordered. The Company shall have no liability and the Customer shall indemnify the Company and keep it indemnified against any claims, costs or expenses which may be made against or incurred by the Company in respect of any death of or injury to any person using the Products.

In no event shall Vocale Ltd have any liability whatsoever to the Customer or any third party for any loss of revenue, profit, data or goodwill or for any incidental special (consequential) loss or damage arising from the use of Vocale Ltd products.

Conditions

The ordering of Products implies acceptance of these terms and conditions, which supersede in their entirety, any condition contained in any purchase order or other documentation, which the Customer may issue. Once a login Id has been sent out following a successful credit card transaction or other transaction between Vocale Ltd and any partner company of Vocale Ltd. No refund can be made. These terms and conditions supersede any already published pertaining to the provision of any Products by the Company.

Resale of any product access license is fully prohibited unless allowed by written permission given by Vocale Ltd

Warranty and Liability

The customer accepts that it is their responsibility to verify that the courses are suitable for the requirements of the delegate(s) attending a particular course and that the delegate(s) has the necessary level of competence to be able to achieve the objectives of the course.

Copyright

The copyright and all other intellectual property rights in all course materials shall remain the sole and exclusive property of Vocale Ltd or, in the case of a course developed by a Partner of Vocale Ltd, the Partner's organization. You undertake that you will not copy or permit the photocopying of course materials, nor disclose or permit the disclosure or sell or hire the same to third parties, nor use the same for running your own courses.

This computer based training course is copyright protected and must not be copied, printed or reproduced by any means mechanical, electrical or electronic or stored in any electronic retrieval system without the express written permission of the copyright holder, Vocale Ltd.

Vocale Ltd. believes the content of this course to be accurate however, Vocale Ltd. cannot give any warranty in relation to the course content or accept any liability for any loss which might arise from any errors within it.

Disclaimer of Warranty

Vocale Ltd is providing this Site and its Contents on an "as seen" basis and makes no representations or warranties of any kind, either express or implied, including, without limitation, warranties or conditions of title or implied warranties of merchantability or fitness for a particular purpose, and non-infringement. Although Vocale Ltd believes the Content to be accurate, complete, and current, Vocale Ltd does not represent or warrant that the information accessible on this Site is accurate, complete, or current. Price and availability information is subject to change without notice.

Disclaimer of Liability

In no event shall Vocale Ltd be liable for special, indirect, exemplary, or consequential damages or any damages whatsoever, including but not limited to, loss of use, data, or profits, without regard to the form of any action, including but not limited to contract, negligence, or other tortious actions, all arising out of or in connection with the use, copying, or display of the Contents of this Site. In an effort to provide our customers with the most current information, Vocale Ltd will, from time to time, make changes in the Contents and in the products or services described on this Site.  Vocale also makes no guarantee that its web sites and training programs will be available 100% of the time.

Disclaimer of Technical Support

Vocale Ltd is providing this Site and its Contents on a “No Technical Support” basis. If technical support is required for any reason (including initial setup and configuration of equipment) – this can only be provided by the manufacturers own website or other internet sites and forums.

Intellectual Property

Copyright and all other intellectual property rights in any work created by or for the Company, together with the know-how developed and/or utilised in preparing and/or providing any Course, shall vest in the Company. The Customer’s use of Products shall be by way of a non-exclusive, non-assignable licence only and the Customer shall not make any copies of any such materials for any purpose nor disclose or make them available to any third party.

All Products are supplied to the Customer by the Company on a single copy per student basis; that is, a single copy of a training product, such as an online course with an access login-id and password, must be given to one individual student to keep for themselves and not be retained by the Customer for use with other students , nor photocopied or reproduced in any form without the express written permission of a Vocale Ltd director. The Customer must report to the Company any incidence of a number of students sharing a single copy of the Product and the Company will accordingly charge the full catalogue price for each student sharing a single copy of the Product.

The Company gives no warranty that the provision of any Products shall not infringe any United Kingdom or other letters patent, copyright or other intellectual property rights owned by third parties. The Company shall not be liable to the Customer for any costs, claims, demands, loss or damage relating to the infringement of any copyright or intellectual property rights that may arise from or out of the use thereof by the Customer. In the event of any threat of proceedings being made or action brought against the Customer on the ground of an infringement of such rights the Customer shall immediately inform the Company of the same and shall deliver to the Company all communications in connection therewith and render such assistance as the Company may reasonably require in defence thereof.

Terms of Use Revisions

Vocale Ltd may revise these Terms of Use by updating this posting. You agree that in the event that any portion of these Site Terms of Use is found to be unenforceable, the remainder of these Site Terms of Use shall remain in full force and effect. By using this Site you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current Terms of Use to which you are bound. If part of these terms is found to be unlawful, it shall not affect the validity of the remainder. Errors and omissions excepted.

Vocale Ltd – 'Classroom based' Training Terms and Conditions

Confirmed Bookings

  1. Booking are firstly accepted by Vocale Ltd via a Purchase order.
  2. On receipt of the purchase order Vocale Ltd will return a confirmation of the order in writing.

Provisional Bookings (individuals only)

  1. When you make a provisional booking, Vocale Ltd will check the course status and acknowledge availability by email.
  2. To retain your place on the course, you should provide written confirmation of the booking. This can be performed by email, fax, or letter.
  3. On subsequent acceptance via email by Vocale Ltd, the booking will be treated as an order and we will issue paperwork appropriate to the chosen payment option.

Joining Instructions (individuals only)

Upon receipt of your confirmation, Joining instructions will be sent to you. Payment is due 14 days prior to the course commencement date. If for whatever reason payment is not received, attendance at the course will not be permitted.

Payment Terms

An invoice will be issued 6 weeks prior to commencement of the course. Payment is due on receipt, and should be received by Vocale Ltd 14 days prior to the course commencement date. Payment is due immediately should the booking be made within 14 days of the course commencement date.

All course fees are exclusive of Value Added Tax (UK customers must apply the current VAT amount to the course fee total). If the customer fails to make any payment when due, Vocale Ltd reserves the right to levy a late payment charge calculated at the rate of 2% per month accruing daily from the date the invoice becomes due for payment.

Cancellations and transfers

Cancellations and transfers will only be accepted if made in writing and received at least 6 weeks before the start of the course. Later cancellations and transfers cannot be accepted and the full payment will remain payable. Once an order has been accepted, in the case of multiple delegates from a single company the price remains fixed regardless of the possibility of delegate ‘drop outs’. Additional delegates will be charged at the agreed rate for that particular course.

Course Changes

Vocale Ltd reserves the right to improve the specification and format of its courses for the benefit of its customers without notice to the customer.

The location and date of the course will be as advised to the customer at the time of booking. Vocale Ltd reserves the right to change the location of the course and will advise the customer as soon as this change is known.

Vocale Ltd reserves the right to cancel or reschedule any course and will advise the customer as soon as this change is known. Vocale Ltd will use all reasonable endeavors to avoid changes of this nature. When this is unavoidable Vocale Ltd will refund in full all monies paid by the customer, or at the customer's option apply all monies to a rescheduled or alternative course.

Warranty and Liability

The customer accepts that it is their responsibility to verify that the courses are suitable for the requirements of the delegate(s) attending a particular course and that the delegate(s)  has the necessary level of competence to be able to achieve the objectives of the course.

If the location of the course is provided by Vocale Ltd, then Vocale Ltd’s liability for loss and damage shall be limited to a claim for damages. The maximum aggregate liability will be the charges for the course out of which the loss or damage has arisen. Vocale Ltd will not be liable for indirect, special or consequential loss (including loss of anticipated profit or data), howsoever arising, even if it has been advised of such potential loss.

If the location of the course is provided by Vocale Ltd. Vocale Ltd will be responsible for death and injury resulting from Vocale Ltd’s negligence when carrying out courses.

Copyright

Non-UK Organizations
